1. Consent, Release and Waiver.​ I grant to EXPLORINGNOTBORING BLLC, its subsidiaries, affiliates, successors, and representatives (collectively, the “Company”), with respect to all elements of my experience with the Company, including all text, names, titles, likeness, artwork, images, videos, testimonials or endorsements, (collectively, my “Experience”), a non-exclusive, perpetual right to use, publish, distribute, and reproduce my Experience for promotional purposes. I waive any claims against the Company relating to the use of my Experience. I waive any right to inspect, modify, approve or disapprove any materials which my Experience appears. I understand that my Experience will be the property of the Company who will own all rights, including the copyright in and to any videos, images, and any other materials made by the Company, which contain my name, likeness, testimonial or endorsement.
2. Representations.​ I represent that (i) I have the power and authority to grant this consent and release, and (ii) the Company’s use or publication of my Experience or any related materials will not violate the rights of any third party or give rise to any claims. I understand and agree that I will be liable to the Company for any damage or cost it may suffer arising out of its use of my Experience if such violation occurs. I also understand that the Company is not obligated to publish my Experience and that if it does, I will not receive royalties or other compensation.
3. Miscellaneous.​ This Consent and Release is the entire agreement between me and the Company regarding my Experience and it supersedes any previous written or oral communications, and it may not be changed in the future without both the Company and me agreeing to the change in writing. If any part of this Consent and Release is found to be invalid, that invalidity shall not affect the remainder of this agreement, which shall be governed by the laws of Utah and I consent to exclusive personal jurisdiction and venue in Salt Lake City, Utah.
By sending, uploading, providing, or otherwise, submitting my Experience to the Company, I agree to the terms and conditions of the foregoing Testimonial Consent and Release Form and voluntarily provide my Experience. I declare that I am of the age of consent and have the power and authority to consent and release the aforementioned.
